Terms of Service

Effective October 13, 2026Last updated October 13, 2026

Please read these Terms carefully. They contain a binding arbitration clause and a class action waiver (Section 26), which affect how disputes are resolved, and they limit our liability to you (Sections 21 and 22). Using Astra Market Maker involves significant risk, including the total loss of your digital assets. Read our Risk Disclosure before you use the Services.

1Agreement to these Terms

These Terms of Service (the "Terms") are a legally binding agreement between you and Astra Technologies LLC, a limited liability company formed under the laws of the Cayman Islands ("Astra", "we", "us" or "our"). They govern your access to and use of the Astra Market Maker website, web application, software, automated trading strategies, wallet features, application programming interfaces, support channels and any related services (together, the "Services").

By creating an account, clicking to accept, connecting or creating a wallet, paying for a plan or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Risk Disclosure, each of which forms part of these Terms. If you do not agree, you must not use the Services.

If you use the Services on behalf of a company, foundation, DAO, project or other organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation.

2Key definitions

  • Digital Assets means cryptocurrencies, tokens, stablecoins and other blockchain-based assets.
  • Project Token means any Digital Asset you add to the Services for a Strategy to trade.
  • Native Asset means the gas token of the relevant network (for example SOL, ETH, BNB or POL), or USDC on networks where USDC is the gas token.
  • Strategy means the automated trading instructions you configure in the Services for a Project Token, including counter trading, buy-back and floor settings, frequencies, limits and protections.
  • Strategy Wallet means a blockchain wallet created through the Services or imported by you that a Strategy uses to trade.
  • Main Wallet means the wallet you use to collect proceeds from your Strategy Wallets.
  • Plan means the paid subscription tier you select, with the limits shown in the Services at the time of purchase.
  • Third-Party Services means services we do not control, including blockchains, decentralised exchanges and liquidity pools, wallet infrastructure providers (such as Privy), market data providers (such as DexScreener), sign-in providers (such as Google and Apple), RPC node providers and payment networks.

3Eligibility

You may only use the Services if all of the following are true:

  1. you are at least 18 years old and have full legal capacity to enter into these Terms;
  2. you use the Services for business or professional purposes, and not as a consumer;
  3. you are not a Restricted Person and are not located, incorporated, resident or organised in a Restricted Jurisdiction (Section 4);
  4. you have not previously been suspended or removed from the Services; and
  5. your use of the Services does not violate any law, regulation or rule that applies to you, the Project Token or your trading activity.

We may ask you to prove that you meet these requirements at any time and may refuse, suspend or end access if we are not satisfied.

4Restricted persons and jurisdictions

You must not use the Services if you, or any person who owns or controls you, are a "Restricted Person", meaning a person who is (a) named on, or owned or controlled by a person named on, any sanctions list maintained by the United Nations, the Cayman Islands, the United Kingdom, the European Union, the United States (including the OFAC Specially Designated Nationals list) or any other relevant authority, or (b) otherwise the target of sanctions.

"Restricted Jurisdiction" means Cuba, Iran, North Korea, Syria, the Crimea, so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine, any other country or region subject to comprehensive sanctions, and any other jurisdiction we list in the Services from time to time or in which the Services or your use of them would be unlawful or require a licence or registration that we do not hold.

You must not use a VPN, proxy or other method to hide your location or to get around these restrictions. We may block access from any location, screen wallet addresses against sanctions and risk databases, and refuse to sign or process any transaction linked to a Restricted Person or Restricted Jurisdiction.

5What the Services are, and what they are not

Astra Market Maker is software. It lets you configure automated rules that buy and sell Digital Assets on decentralised exchanges, from wallets that belong to you, according to settings you choose. You decide whether to start a Strategy, how it behaves and when to stop it.

Astra is not, and does not act as, your broker, dealer, exchange, trading venue, investment adviser, portfolio manager, fiduciary, trustee, agent (except for the limited signing authority in Section 8), custodian, bank, money transmitter, payment institution or market maker on your behalf in any regulated sense. We do not trade for our own account against you, take the other side of your trades, pool customer assets or hold customer funds in our own accounts.

Nothing in the Services is investment, financial, trading, legal, tax or accounting advice, a recommendation, or an offer or solicitation to buy or sell any Digital Asset. Calculators, projections, examples, charts and estimates are illustrative only (Section 16). You should obtain your own independent professional advice before using the Services.

6Your account and security

You may create an account using Google, Apple or an email one-time code. Sign-in and embedded wallets are provided through Third-Party Services. You must give accurate information and keep it up to date.

You are responsible for everything that happens under your account and for keeping your sign-in methods, email account, devices, two-factor authentication ("2FA") and any exported private keys secure. We require 2FA for sensitive actions such as starting Strategies, withdrawing, collecting, exporting private keys and removing funded wallets. You must tell us immediately through our official support channel if you believe your account has been compromised.

We are not responsible for losses caused by unauthorised access to your account that results from your failure to keep your credentials, devices or email secure, from compromise of a Third-Party Service you use to sign in, or from phishing, malware or social engineering. Astra staff will never ask for your private keys, seed phrases or 2FA codes.

7Wallets and ownership of your assets

Strategy Wallets are either created for you through our wallet infrastructure provider or imported by you using a private key. You remain the legal and beneficial owner of all Digital Assets held in your Strategy Wallets and your Main Wallet. Astra has no right to use those assets for its own purposes, and they are not Astra's property.

You can export the private key of any Strategy Wallet at any time, subject to 2FA, and move your assets elsewhere. Once a private key has been exported, anyone who obtains it can control that wallet, and protecting it is entirely your responsibility.

If you import a private key, you confirm that you are lawfully entitled to control that wallet and every asset in it. Imported keys are stored only in encrypted form and used only to carry out your instructions. Do not import a wallet that you also use for other purposes.

Blockchain transactions are public, final and irreversible. Astra cannot cancel, reverse, recover or refund any transaction, including transactions sent to a wrong address, on a wrong network or to a contract.

8Limited authority to execute your instructions

To run your Strategies, you authorise Astra to create, sign and submit blockchain transactions from your Strategy Wallets, but only to:

  1. execute trades according to the Strategy settings you have set and started;
  2. pay the network fees those trades and transfers require;
  3. collect, withdraw or move assets when you instruct us to through the Services; and
  4. rotate or replace wallets when you instruct us to.

This authority is limited, revocable and non-exclusive. You can withdraw it at any time by pausing your Strategies, removing a wallet, or exporting its private key and moving its assets. Astra will not use this authority for any other purpose. You acknowledge that every transaction made within your settings is made on your instructions and for your account.

9How Strategies work

Depending on your settings, a Strategy may sell a percentage of incoming buys of your Project Token, buy back a percentage of incoming sells, act on every Nth trade or at random intervals within a range you set, respect a floor price, minimum sell price, slippage limit and trade size limits, and rotate between Strategy Wallets. Sale proceeds are received in the Native Asset of the relevant network.

Strategies react to market activity that we observe through Third-Party Services. We do not promise that any trade will be executed, executed in full, executed at a particular price or time, or executed at all. Transactions can fail, be delayed, be reordered, be front-run or be executed at prices worse than expected.

Settings are locked while a Strategy is running. You must pause a Strategy before changing it. You are solely responsible for choosing settings that are appropriate for your Project Token, your liquidity and your goals, and for keeping enough Project Tokens and Native Asset in your Strategy Wallets.

We may pause, limit or stop any Strategy, decline any transaction, or change how the Services route or time trades, at any time and without notice, if we reasonably believe it is necessary for security, legal or regulatory compliance, to prevent harm or abuse, because of abnormal market conditions, suspected manipulation, a compromised token or pool, or a technical issue.

10Your responsibilities for your token and your community

You confirm, every time you use the Services, that:

  1. you own, or are fully authorised to trade, every Digital Asset in your Strategy Wallets, and if you act for a project, its treasury or its team, you have all approvals needed to do so;
  2. you are solely responsible for determining whether the Project Token or any activity relating to it is a security, commodity, derivative, e-money or other regulated instrument in any jurisdiction, and for complying with every law that results;
  3. you will make any disclosures required by law, by your own published commitments (such as whitepapers, token unlock schedules, vesting promises or treasury policies) or by the platforms you use, including disclosure that you sell or buy your Project Token through automated means;
  4. you will not make false or misleading statements to holders or the public about the Project Token, its price, its volume, its treasury or your trading; and
  5. you understand that selling into buys creates sell pressure, that buying into sells spends your Native Asset, and that both can affect the market price of the Project Token and how your community sees your project.

Astra does not review, endorse or vouch for any Project Token, project or team, and is not responsible to your token holders, investors or community.

11Prohibited conduct

You must not use the Services, directly or indirectly, to:

  1. engage in wash trading, self-trading, matched or pre-arranged trades, or any activity designed to create a false or misleading appearance of trading volume, liquidity, demand or price;
  2. engage in spoofing, layering, marking the close, pump-and-dump schemes, coordinated price manipulation, rug pulls, or any other manipulative or deceptive practice;
  3. trade on the basis of material non-public information, or front-run your own community or any other person;
  4. trade any Digital Asset you do not own or are not authorised to trade, or any token designed to deceive, such as honeypots, tokens with hidden mint, blacklist or transfer-tax functions used to defraud buyers, or tokens impersonating another project;
  5. launder money, finance terrorism, evade sanctions or taxes, or handle proceeds of crime;
  6. defraud, mislead or harm any person, including your token holders;
  7. get around Plan limits, open multiple accounts, share accounts or use false information, including to obtain the Cash-out Guarantee more than once;
  8. copy, modify, reverse engineer, decompile, scrape, resell, sublicense or create derivative works of the Services, or access them through automated means we have not approved;
  9. probe, scan or test the security of the Services, interfere with or disrupt them, introduce malicious code, or attempt to gain unauthorised access to any account, wallet or system; or
  10. infringe anyone's intellectual property, privacy or other rights, or break any applicable law.

We may investigate suspected breaches, cooperate with law enforcement and regulators, and take any action we consider appropriate, including those set out in Section 19.

12Plans, fees and payment

Prepaid plans. Access to trading features requires a paid Plan. Plans are prepaid for the period you choose (for example one month or three months). Plan prices, limits and discounts are shown in the Services at the time of purchase and form part of these Terms.

Crypto payment. Fees are payable only in the Digital Assets and on the networks we accept at checkout. You must send the exact amount, in the exact asset, on the exact network and to the exact address shown. Payments sent in the wrong amount, asset or network, or to the wrong address, may be lost and are your responsibility. Network fees are paid by you and are not included in our prices. A payment is complete only when it is confirmed on-chain and recorded by us.

No automatic renewal. We do not automatically charge you. When your prepaid period ends, your Plan expires unless you extend it. You may extend at any time. Extensions are added to the end of your current period, or start immediately if your Plan has already expired.

Upgrades and downgrades. An upgrade takes effect immediately, and you pay the prorated difference for the rest of your current period as shown at checkout. A downgrade takes effect at the end of your current paid period. If your usage is above the limits of your new Plan when it takes effect, the newest tokens and wallets above the limit will be paused. They are not deleted, and their assets remain withdrawable.

Cancellation. You may cancel at any time. Your Plan stays active until the end of the period you have already paid for and then expires.

No refunds. All fees are fully earned when paid and are non-refundable, including for unused time, cancellation, downgrades, paused Strategies, suspension or termination for breach, market conditions or your dissatisfaction with results. The only exception is the Cash-out Guarantee in Section 13, or where a refund is required by mandatory law.

Expiry. When a Plan expires, running Strategies are paused and you cannot add new tokens or wallets. You can still sign in, collect, withdraw and export your private keys.

Price changes. We may change our prices and Plans at any time. Changes apply only to purchases and extensions made after the change.

Taxes. Fees exclude all taxes, duties and levies. You are responsible for all taxes connected with your payments and your trading.

13Cash-out Guarantee

The Cash-out Guarantee is a limited, one-time promotional refund for new customers. It is not a guarantee of price, volume, profit, returns or any trading outcome.

Who it applies to

It applies only to your first-ever paid Plan with Astra, and only once per customer. "Customer" includes you, any organisation you act for, your affiliates, and any account linked to the same people, devices, wallets, payment wallets or Project Token. If you or a linked person has held a paid Plan before, the guarantee does not apply.

What it covers

The "Guarantee Period" is the first 30 days of that first paid Plan. If the total US dollar value of Native Asset proceeds from Strategy sales during the Guarantee Period, as recorded by the Services at the time of each sale, is less than the price of the first month of that Plan (for a multi-month purchase, the monthly equivalent price actually paid), you may claim a refund of that first-month amount. This amount is the maximum we will ever pay under the guarantee.

Conditions

  1. At least one Strategy with selling enabled ran on your Project Token for the entire Guarantee Period, except for interruptions caused solely by Astra.
  2. Your Strategy Wallets held enough Project Tokens and Native Asset to trade throughout the Guarantee Period.
  3. You did not pause, reconfigure or limit your Strategy, or move assets, in a way we reasonably determine reduced sales.
  4. The Project Token had genuine, organic trading activity and was not subject to manipulation, artificial volume, a rug pull, exploit, delisting, trading halt, honeypot or transfer restriction.
  5. You complied with these Terms throughout, and you are not under suspension or investigation.
  6. You submit your claim through our official support channel within 14 days after the Guarantee Period ends, and give us any information we reasonably request, including identity verification.

Payment and decision

We decide eligibility reasonably and in good faith, based on the records of the Services. Approved refunds are paid in the asset and on the network of your original payment, to the wallet that paid or another wallet you verify, within 30 days of approval. Your Plan ends when a refund is paid. The guarantee is your sole and exclusive remedy relating to the performance of the Services during the Guarantee Period. We may change or withdraw the guarantee for future purchases at any time.

14Third-Party Services

The Services depend on Third-Party Services, including blockchains, decentralised exchanges, liquidity pools, token contracts, wallet infrastructure (such as Privy), market data (such as DexScreener), sign-in providers, RPC nodes and hosting. We do not control them and are not responsible for their availability, accuracy, security, fees, terms or conduct, or for any loss they cause. Your use of them may be subject to their own terms and privacy policies.

15Networks, forks and tokens

We choose which networks, exchanges and assets the Services support and may add or remove support at any time. We are not obliged to support any fork, airdrop, migration, new token version or network upgrade. If a network or token changes in a way that affects the Services, we may pause related Strategies.

16Data, projections and examples

Market data shown in the Services, including prices, liquidity, volume, market capitalisation, charts and pool information, comes from Third-Party Services and may be delayed, incomplete or wrong. Projections, calculators, scenarios, goal trackers, examples and marketing figures are estimates based on assumptions and past data. They are not forecasts, promises or guarantees, and actual results may be materially worse. You must not rely on them in making any decision.

17Compliance, verification and screening

We may at any time ask you to verify your identity, your organisation, your source of funds or your authority over a Project Token, and may screen wallets and transactions using blockchain analytics. We may delay, refuse or report any activity where we are required to do so by law, or where we reasonably suspect fraud, sanctions exposure, money laundering, market manipulation or other unlawful conduct. We are not required to tell you why.

18Intellectual property

The Services, including their software, code, designs, text, graphics, logos and trademarks, are owned by Astra or its licensors and protected by law. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Services for your own business purposes while your account is in good standing. All other rights are reserved.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose, without obligation to you.

19Suspension and termination

We may suspend, restrict or terminate your access to all or part of the Services, pause or stop any Strategy, or close your account, at any time and with or without notice, if we reasonably believe that you have breached these Terms, that your use creates legal, regulatory, security or reputational risk, that we are required to do so by law or by an authority, or if we decide to stop offering the Services.

Unless prohibited by law, a court order or a sanctions requirement, you will still be able to export your private keys and withdraw your assets after suspension or termination. Fees paid are not refunded on termination for breach. If we stop offering the Services entirely for reasons other than your breach, we will give reasonable notice where practicable so that you can withdraw your assets.

You may stop using the Services and close your account at any time. Sections that by their nature should survive termination, including Sections 7, 12, 13 (for valid pending claims), 16 and 18 to 28, will survive.

20Assumption of risk

You understand and accept the risks described in these Terms and in our Risk Disclosure, including that Digital Assets are highly volatile, that automated trading can lose money quickly, that your sales can lower your token's price, and that you may lose all of the Digital Assets you use with the Services. You use the Services entirely at your own risk.

21Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or quiet enjoyment. Astra does not warrant that the Services will be uninterrupted, secure, error-free or free of harmful components, that any trade will be executed or executed at any price, that any data will be accurate, or that the Services will achieve any result, revenue, volume, price level or floor.

22Limitation of liability

To the maximum extent permitted by law, in no event will Astra, its affiliates, or their respective members, managers, directors, officers, employees, contractors, agents, licensors or service providers (the "Astra Parties") be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data, Digital Assets or token value, any decline in the price of any Digital Asset, any failed, delayed or mispriced transaction, or any loss caused by Third-Party Services, blockchains, smart contracts, market conditions, hacks, unauthorised access or your settings, however arising and even if advised of the possibility.

The total aggregate liability of the Astra Parties for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the fees you actually paid to Astra in the three months before the event giving rise to the claim, and (b) one hundred US dollars (US$100).

These limits apply to all theories of liability, including contract, tort (including negligence), strict liability and statute, and they are an essential basis of the bargain between you and Astra. Nothing in these Terms excludes liability that cannot be excluded by law, such as liability for fraud.

23Indemnity

You will defend, indemnify and hold harmless the Astra Parties from and against all claims, demands, investigations, losses, damages, penalties, fines, costs and expenses (including reasonable legal fees) arising out of or relating to: your use of the Services; your Strategies and trades; your Project Token, project and dealings with your holders and community; your breach of these Terms or any law; your violation of any third-party right; or any claim by a regulator, token holder or other person concerning your activity.

24Changes to the Services and these Terms

We may change, suspend or discontinue any part of the Services at any time. We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, give notice through the Services or by email. Continued use after the effective date means you accept the changes. If you do not agree, you must stop using the Services.

25Electronic communications

You agree to receive notices, receipts and other communications from us electronically, by email, in the Services or through our official channels, and agree that these satisfy any legal requirement for written communication. Astra will only contact you through official channels listed on our website. Treat any other message claiming to be from Astra with suspicion.

26Governing law, arbitration and class action waiver

Governing law. These Terms and any dispute or claim arising out of or relating to them or the Services, including non-contractual disputes, are governed by the laws of the Cayman Islands, without regard to conflict of laws rules.

Informal resolution. Before starting any proceeding, you agree to contact us at legal@byastra.ai with a description of the dispute and try in good faith to resolve it for at least 30 days.

Binding arbitration. Any dispute, controversy or claim arising out of or relating to these Terms or the Services, including their existence, validity, interpretation, performance, breach or termination, will be finally resolved by confidential arbitration under the UNCITRAL Arbitration Rules in force at the time, in accordance with the Arbitration Act of the Cayman Islands (as revised). The seat of arbitration is George Town, Grand Cayman. There will be one arbitrator. The language of the arbitration is English. The award is final and binding and may be enforced in any court of competent jurisdiction.

Class action waiver. You and Astra may bring claims against each other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person. You and Astra each waive any right to a jury trial.

Exceptions. Either party may seek urgent injunctive or interim relief from the courts of the Cayman Islands or any other competent court to protect its intellectual property, confidential information or security, or to prevent unauthorised use of the Services.

Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.

27Force majeure

Astra is not liable for any delay or failure caused by events beyond its reasonable control, including blockchain or network failures, forks, congestion or attacks, failures of Third-Party Services, hacks, cyber attacks, power or internet outages, changes in law or regulation, actions of authorities, sanctions, war, terrorism, civil unrest, pandemics, natural disasters or labour disputes.

28General

  • Entire agreement. These Terms, the Privacy Policy, the Risk Disclosure and any terms shown at checkout are the entire agreement between you and Astra about the Services.
  • Severability. If any provision is found invalid or unenforceable, it will be enforced to the maximum extent possible and the rest will remain in effect.
  • No waiver. Our failure to enforce any right is not a waiver of it.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, including to an affiliate or in connection with a merger, acquisition or sale of assets.
  • No partnership. Nothing in these Terms creates a partnership, joint venture, employment, agency (except as stated in Section 8) or fiduciary relationship.
  • Third parties. Except for the Astra Parties under Sections 21 to 23, no third party has any right to enforce these Terms.
  • Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.
  • Headings. Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation".
